Notice of Annual General Meeting

Dear Members,

The last year has of course been an incredibly eventful time for the CYCA, however it is wonderful to now be able to move to convene our Annual General Meeting (AGM) 1830hrs Tuesday 13 July 2021.

Due to COVID-19 restrictions, the AGM will be held online only via Zoom and Members are required to register in advance. To ensure registration is as easy as possible for all Members, please either:

  • register on Zoom here; or
  • phone the Club on (02) 8292 7800 to ask one of our reception staff to register you for the AGM.

  • an Explanatory Memorandum to a motion to ensure our compliance with the Registered Clubs Act.

It is with great pleasure that the Board endorses the nomination of Mr David Champtaloup for Life Membership. David has been hugely influential in our Club and in our sport for decades and, quite frankly, without his continuing efforts and commitment to our Club it would be nowhere near as successful as it is today.

Finally, one of the main purposes of the AGM is to elect our Board going forward – please note the closing date for the receipt of properly completed nominations of eligible Members is 1700hrs Tuesday 29 June 2021 and nomination forms are available from Reception or otherwise download here.

Notice of Annual General Meeting

Notice is hereby given that the 77th Annual General Meeting of the Cruising Yacht Club of Australia will be held at the Cruising Yacht Club of Australia, 1 New Beach Road, Darling Point, NSW 2027 and online by Zoom Webinar on Tuesday 13 July 2021 at 6:30pm.

BUSINESS

  1. To confirm the minutes of the Annual General Meeting held on 25 August 2020.
  2. Commodore’s Report.
  3. Treasurer’s Report.
  4. To receive and consider the Directors’ report, Financial report and Auditor’s report for the year ended 31 March 2021.
  5. Life Membership. Nomination for Life Membership for Mr David Champtaloup. A full biography of Mr Champtaloup is set out in Annexure “A”.
  6. Registered Clubs Act 1976 Compliance: To consider and vote on a proposal to ensure CYCA compliance with the Registered Clubs Act 1976, as explained in the attached Explanatory Memorandum. Namely, that, for the purposes of section 41E of that Act, any real property owned or occupied by CYCA that is part of the premises of the club and that is, or is to be, leased or licensed by CYCA to any member or other person or entity on terms approved by the Board, is declared not to be core property of CYCA.
  7. General Business. Presentation of 50 Year Members Badges.
  8. To elect a Director in each of the following offices: Commodore; Vice Commodore; Rear Commodore (2); Treasurer
  9. To elect four other Directors

GENERAL: Members entitled to attend the meeting and vote are as follows:

NOTE: The provisions of Clause 5.1b which states “a member is not entitled to be present or to vote at a general meeting if at the date of the meeting that member’s annual subscription fees or other moneys payable by that member to the Company are in arrears by more than two months (or such longer period as the Board may allow in special circumstances)”.

All Members who wish to ask a question or make a comment will be able to do so.

  • On Zoom, please submit a question through Q&A or “raise your hand” if you wish to address the meeting. If you wish to address the meeting via Zoom, you will be granted access to do so when directed by the Chair.

Voting will be by way of a Zoom poll.

Annexure A to Notice of AGM, Life Member Nomination Biography

Mr David Champtaloup

David has made an enormous contribution to the Cruising Yacht Club of Australia over two decades of Membership. He joined the Club in 1997 and served as a Director on the Board from 2009 to 2013.

He was a member of the Cruising Committee from 2006 to 2014, (Chair 2009 – 2013) and, with Denis Doyle, was a co-initiator of the ‘CYCA Cruise to Hobart’ in 2008.

David served on the Members Services Committee (now Member Engagement Committee) from 2009 to 2013 and has been an invaluable member of the Archives Committee (now History and Archives Committee) since 2009, (Chairman 2009 – 2013).

As a co-founder of the CYCA Video Archives Project with Peter Shipway in 2009, David has been jointly responsible for the production of over 35 videos of enormous historical significance which are available online for the enjoyment of Club Members for posterity. In the early years, these interviews captured accounts from the likes of Ted Kaufman, Richard ‘Sighty’ Hammond, Trygve Halvorsen and Don Mickelborough. More recent episodes have included Sir James Hardy OBE.

David has also been a member of the Organising Committee for the 1967 Admiral’s Cup 50th Anniversary Regatta in 2017, and has been instrumental in development of races for classic and veteran yachts in Sydney. David has also been a member of the CYCA Sydney Hobart Classic Yacht Regatta Organising Committee since 2019 and the CYCA Great Veterans Race 2021.

David has been the proud owner of Caprice of Huon since 2000 and has participated in Hamilton Island Race Week, the Classic Cruise to Lord Howe Island and the CYCA Cruise to Hobart. Caprice is a past winner of PHS and IRC point scores in the CYCA Short Haul Series. Now in her 70th year, Caprice of Huon is racing mostly in classic yacht events and most recently won the Windward Trophy as winner of Division 1 in the Great Veterans Race held in May 2021.

Explanatory Memorandum on Core Property

Proposed resolution

Resolved that, for the purposes of section 41E of the Registered Clubs Act 1976 in relation to core property, any real property owned or occupied by CYCA that is part of the premises of the club and has, or is to be, leased or licensed by CYCA to any member or other person or entity on terms approved by the Board is declared not to be core property of CYCA.

Explanation

Under the Registered Clubs Act, core property is any real property owned or occupied by CYCA that comprises the premises of the CYCA or any facility provided by CYCA for the use of members and guests.

The legislation permits members to resolve that any real property is not core property, otherwise a difficult and expensive process must be followed including having a qualified valuer value the relevant property, having each lease or licence approved by members and where there is a sale, conducting it by public auction.

The intent of the provisions of the Registered Clubs Act is to provide rigour and transparency where the club’s real estate is being divested and no longer available to members, rather than our situation where we issue marina licences or locker licences to members or give a licence to caterers to operate our food offerings.

The Board recommends the passing of the proposed resolution so that there is no ambiguity as to the manner in which we have and continue to operate. It would, for example, be unworkable if every licence of a marina berth needed approval at a general meeting of members.

However, members should note that they may at any time pass a resolution re-imposing the restrictions.
